What is Governance

The role of governance in a nonprofit organization is to provide stewardship, sensemaking and foresight that advance its purpose. Governance leadership takes responsibility for building and sustaining stakeholders' confidence in the organization's integrity, legitimacy and viability.

Board governance refers to the framework that gives structure to a board and how it operates. It defines the roles and responsibilities of board members and executives.

In general, governance establishes the policies, procedures, and processes by which an organization is being governed. Governance is not a singular system, but rather composed of various key components and includes multiple actors or stakeholders, each with their own distinct roles and responsibilities.
